This is a legally binding agreement. By accessing or using any JobsUPI platform, service, application, or API, you unconditionally agree to all terms herein. If you do not agree, you must cease using the platform immediately. This document constitutes an electronic record under the Information Technology Act, 2000.

These Terms & Conditions (hereinafter, the "Agreement" or "Terms") constitute a legally binding electronic record and contract in accordance with the provisions of the Information Technology Act, 2000 ("IT Act") and the rules made thereunder, as amended from time to time. This Agreement is published in compliance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 ("Intermediary Guidelines"), and governs your access to and use of the JobsUPI platform and all related services offered by UNLOCKING JOBUPIX LABS PRIVATE LIMITED ("Company", "JobsUPI", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, having its registered office at AltF JMD Empire Square, Room No. MR1, 3rd Floor, JMD Empire Square, MG Road, Sikanderpur Ghosi, Sector 28, Gurugram, Haryana – 122002.

BY USING THE SERVICE, YOU ACCEPT THESE TERMS:

BY ACCESSING, DOWNLOADING, INSTALLING, BROWSING, REGISTERING ON, OR OTHERWISE USING THE JOBSUPI PLATFORM IN ANY MANNER WHATSOEVER — INCLUDING VIA WEBSITE, MOBILE APPLICATION, WHATSAPP, CALLING AGENT, API, OR ANY OPEN-NETWORK INTEGRATION — YOU UNCONDITIONALLY AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ANY PROVISION OF THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM AND SERVICES. YOUR CONTINUED USE CONSTITUTES ACCEPTANCE.

This document is an electronic record generated by a computer system and does not require any physical or digital signature. It is valid and enforceable under the Information Technology Act, 2000 and the Indian Evidence Act, 1872.

Section A: General Terms

Applicable to All Users — Job Seekers, Employers, Visitors & API Consumers

C1. Definitions

In this Agreement, unless the context otherwise requires, the following terms shall have the meanings ascribed to them below:

Account

The registered user profile created by a User on the Platform.

Applicable Law

Any and all statutes, regulations, rules, orders, notifications, circulars, guidelines, judgments, and other instruments issued by any Authority, including but not limited to the IT Act, DPDP Act, Consumer Protection Act, 2019, Contract Act, 1872, and all applicable labour laws.

Authority

Any judicial, quasi-judicial, governmental, regulatory, or statutory authority having jurisdiction over the Company or the User.

Company Content

All content, data, text, images, graphics, logos, code, algorithms, databases, and other materials owned by or licensed to the Company.

Credits

The prepaid virtual units purchased by Job Providers to access premium features, candidate profiles, or other Services, as may be introduced by the Company from time to time.

DPDP Act

The Digital Personal Data Protection Act, 2023, as amended from time to time, and the rules and regulations promulgated thereunder.

Employer / Job Provider

Any individual, company, firm, contractor, staffing agency, recruiter, or other legal entity that uses the Platform to post job opportunities, access candidate profiles, or avail hiring-related services.

Fake Posting

Any job listing, employer profile, or communication that is fabricated, misleading, deceptive, unauthorized, or not backed by a genuine, lawful employment opportunity.

Fees

Any amounts payable by a User to the Company in consideration for Services, including subscription charges, credit purchases, verification fees, premium listing charges, and any other monetized services.

Informal Hiring

The engagement of workers in unorganized, gig, contractual, daily-wage, or similar employment categories, as distinct from formal salaried employment.

Intermediary

Has the meaning ascribed to it under Section 2(1)(w) of the IT Act.

Job Seeker

Any individual who registers on or uses the Platform to search for, apply for, or otherwise pursue employment opportunities.

Open Network

Any digital public infrastructure, open protocol, or open-standard network integration through which the Platform may operate or interoperate, including but not limited to ONDC or similar frameworks.

Platform

Collectively, the JobsUPI website (www.jobsupi.com), mobile applications (iOS and Android), WhatsApp channel, calling agent services, APIs, open-network nodes, and all other interfaces through which the Company delivers its Services.

Services

All products, features, tools, and services offered by the Company through the Platform, including job matching, profile hosting, verification, messaging, subscription plans, credits, AI-based recommendations, and any other service that may be introduced by the Company from time to time.

Subscription Plan

A time-bound, fee-based package that grants a User access to specific features or volumes of Services.

User

Any person (natural or legal) who accesses, browses, registers on, or otherwise uses the Platform in any capacity, including Job Seekers, Employers, visitors, and API consumers.

User-Generated Content (UGC)

Any data, text, information, images, documents, resumes, job postings, reviews, messages, or other content submitted, uploaded, or transmitted by a User on or through the Platform.

C2. Nature of Platform & Intermediary Status

C2.1 JobsUPI is an intermediary within the meaning of Section 2(1)(w) of the IT Act. The Company operates solely as a technology platform that facilitates the display of, and access to, employment-related information and communications between Users. The Company does not create, generate, or initiate the transmission of User-Generated Content and is not the originator of any information displayed on the Platform.

C2.2 The Company does not act as an employment agency, recruiter, staffing firm, placement agency, contractor, or agent of any employer or job seeker. Nothing in these Terms shall be construed to create any agency, partnership, joint venture, fiduciary duty, or employment relationship between the Company and any User.

C2.3 The Company is not a party to any hiring transaction, employment agreement, offer of employment, contractor arrangement, or any other agreement between a Job Seeker and a Job Provider. All such transactions are exclusively between the relevant Users, and the Company expressly disclaims all liability arising therefrom.

C2.4 The Company shall not be held responsible for the actions, omissions, representations, or conduct of any User on or off the Platform. The Company makes no warranty regarding the accuracy, completeness, reliability, or legality of any content posted or information provided by any User.

C2.5 In accordance with Rule 3(1)(b) of the Intermediary Guidelines, the Company shall observe due diligence while discharging its obligations as an intermediary, and this Agreement forms part of such compliance.

C3. Eligibility & Registration

C3.1 Eligibility — Natural Persons. To register on or use the Platform, you must be at least 18 (eighteen) years of age. Persons below the age of 18 may only access the Platform with the express written consent of a parent or legal guardian, who shall be deemed to have accepted these Terms on behalf of such minor and shall be personally liable for the minor's use of the Platform.

C3.2 Eligibility — Entities. If you are accessing or using the Platform on behalf of a company, firm, partnership, limited liability partnership, trust, or any other legal entity, you represent and warrant that you are duly authorized by such entity to: (a) accept these Terms on its behalf; (b) bind such entity to these Terms; and (c) act on behalf of such entity in all dealings with the Company. The Company may require documentary proof of such authority at any time.

C3.3 Prohibited Persons. You may not use the Platform if: (a) you have been previously suspended or terminated by the Company; (b) you are prohibited from entering into contracts under Applicable Law; (c) you are listed on any government or regulatory debarment or watch list; or (d) you are in breach of any obligation owed to the Company under a prior agreement.

C3.4 Account Accuracy. You agree to provide true, accurate, complete, and current information at the time of registration and to maintain and promptly update such information throughout the term of your use. Providing false, misleading, or incomplete information is a material breach of these Terms and may result in immediate suspension or termination of your Account without notice or refund.

C3.5 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your Account. You must immediately notify the Company at security@jobsupi.com upon becoming aware of any unauthorized access to or use of your Account. The Company shall not be liable for any loss or damage arising from your failure to maintain the security of your Account.

C3.6 Device Registration. The device used during Account creation shall be treated as your registered device. Multi-device access may be subject to additional authentication procedures, and the Company reserves the right to record and store device identifiers as part of its security and fraud-prevention operations.

C4. Intellectual Property

C4.1 Ownership. All rights, title, and interest in and to the Platform and Company Content, including but not limited to software, algorithms, databases, trade names, trademarks, service marks, logos, domain names, design elements, and all other proprietary materials, are owned by or exclusively licensed to the Company. Nothing in these Terms grants you any ownership interest in the Platform or Company Content.

C4.2 Limited License to Users. Subject to your continued compliance with these Terms, the Company grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and use the Platform solely for its intended purposes as described in these Terms. This license does not include any right to: (a) reproduce or redistribute the Platform or Company Content; (b) create derivative works; (c) commercially exploit the Platform or Company Content; or (d) decompile, reverse-engineer, or disassemble any part of the Platform.

C4.3 User-Generated Content License. By submitting, uploading, or otherwise providing any UGC on or through the Platform, you hereby grant the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable license to: use, host, store, reproduce, modify, adapt, translate, create derivative works from, distribute, publicly perform, publicly display, and transmit such UGC for any purpose related to operating, improving, promoting, or expanding the Platform and Services. You represent and warrant that you have all necessary rights, licenses, consents, and permissions to grant this license.

C4.4 Feedback. Any feedback, suggestions, ideas, or recommendations you provide regarding the Platform ("Feedback") shall become the exclusive property of the Company. The Company may freely use, exploit, and commercialize such Feedback without any obligation of payment, acknowledgment, or attribution to you.

C4.5 Brand Guidelines. You may not use the JobsUPI name, logo, or any of the Company's trademarks or service marks without prior written consent. Unauthorized use of the Company's brand assets constitutes trademark infringement and may attract legal action.

C5. User-Generated Content & Conduct

C5.1 Responsibility for UGC. You are solely and exclusively responsible for all UGC you submit to the Platform. The Company does not pre-screen, review, or endorse any UGC, and nothing the Company does or fails to do shall make it responsible for the accuracy, legality, or appropriateness of any UGC.

C5.2 UGC Standards. You represent, warrant, and covenant that all UGC you submit: (a) is accurate, truthful, and not misleading; (b) does not infringe any third-party intellectual property rights; (c) does not violate any Applicable Law; (d) does not contain any malicious code, virus, or harmful software; and (e) is not defamatory, obscene, pornographic, invasive of privacy, or otherwise objectionable.

C5.3 Prohibited Content. Without prejudice to Clause C5.2, you must not post, upload, or transmit any content that: (a) constitutes a Fake Posting or fraudulent communication; (b) contains false information about qualifications, experience, identity, or employment status; (c) discriminates against any person on the basis of sex, caste, religion, race, ethnicity, disability, or any other protected characteristic; (d) solicits money, sensitive personal data, or bank account details from other Users; (e) promotes pyramid schemes, multi-level marketing, or get-rich-quick schemes; (f) constitutes spam or unsolicited bulk communications; or (g) violates any provision of the Intermediary Guidelines.

C5.4 Takedown Rights. The Company reserves the right, but is not obligated, to remove, edit, refuse, or disable access to any UGC at its sole discretion, without notice, and without liability to you, if the Company reasonably believes such content violates these Terms, any Applicable Law, or is otherwise harmful to the Platform or its Users. Takedown of content shall not constitute an admission of liability on the part of the Company.

C6. Prohibited Conduct & Platform Misuse

In addition to the prohibited activities set out in Clause C5.3, you must not, and must not attempt to:

Access the Platform by any means other than the interfaces expressly provided by the Company.

Use any bot, spider, crawler, scraper, data-mining tool, automated script, or other process to copy or extract any content without prior consent.

Engage in or facilitate systematic, large-scale extraction or harvesting of data, including training AI or machine learning models.

Attempt to gain unauthorized access to any portion of the Platform, its systems, servers, or databases.

Circumvent, disable, or interfere with any security or access-control mechanisms of the Platform.

Create multiple Accounts, use fictitious identities, or impersonate any person or entity.

7

Use the Platform to promote or enable illegal employment practices (bonded labour, child labour, human trafficking).

8

Transmit viruses, trojans, worms, ransomware, malware, or any other malicious code.

9

Interfere with or disrupt the integrity, performance, or availability of the Platform or connected servers.

10

Use the Platform for competitive intelligence, market research, or competitor benchmarking without consent.

Reproduce, mirror, or frame any portion of the Platform on any other website or application.

12

Impose an unreasonable or disproportionately large load on the Platform's infrastructure.

13

Violate any Applicable Law, including the IT Act, Indian Penal Code, and DPDP Act.

C7. Privacy & Data Processing

C7.1 Privacy Policy. The Company's collection, processing, storage, and use of personal data is governed by the Privacy Policy, which is incorporated into these Terms by reference and forms an integral part of this Agreement. By using the Platform, you consent to all data processing activities described in the Privacy Policy. In the event of any conflict between the Privacy Policy and these Terms in relation to data processing, the Privacy Policy shall prevail.

C7.2 DPDP Act Compliance. The Company operates as a Data Fiduciary under the DPDP Act. You, as a Data Principal, have the rights of access, correction, erasure, and grievance redressal with respect to your personal data, as described in the Privacy Policy. You may exercise such rights by contacting the Company's Grievance Officer at the details provided in Clause C14.

C7.3 Data Sharing with Third Parties. By using the Platform, you acknowledge and consent that the Company may share your data, including profile information and UGC, with: (a) Employers or Job Seekers, as relevant to your use of the Platform; (b) third-party service providers engaged by the Company for the provision of Services; (c) open-network participants as part of the Platform's interoperability features; and (d) regulatory or law-enforcement authorities when required by Applicable Law.

C7.4 Communications Consent. By registering on or using the Platform, you expressly consent to receive communications from the Company, its affiliates, and third-party service providers through any and all modes, including SMS, email, push notifications, WhatsApp, phone calls (including AI-assisted and automated calls), and any other digital communication channel, for purposes including service updates, transactional alerts, promotional messages, safety notices, and marketing communications. You authorize the Company and its authorized agents to contact you notwithstanding your registration on any Do Not Disturb (DND) or Do Not Call (DNC) register maintained by TRAI or any other regulatory body. You may opt out of promotional communications at any time through the Platform settings; however, you acknowledge that you cannot opt out of transactional communications essential to the Services.

C7.5 Data Retention. The Company shall retain your personal data for such periods as are necessary to fulfill the purposes described in the Privacy Policy, comply with Applicable Law, resolve disputes, and enforce the Company's agreements. Deletion of your Account does not automatically result in deletion of all personal data; the Company may retain such data as is required or permitted by Applicable Law.

C8. AI, Algorithms & Technology Disclaimers

C8.1 The Company uses and may continue to use, develop, and introduce artificial intelligence (AI), machine learning, natural language processing, and other algorithmic technologies to provide, improve, and personalize the Services, including job matching, candidate ranking, profile recommendations, and interview facilitation.

C8.2 You acknowledge and agree that: (a) all AI-generated recommendations, job matches, candidate rankings, and related outputs are automated and probabilistic in nature; (b) such outputs may contain errors, inaccuracies, biases, or omissions; (c) the Company makes no representation or warranty that any AI-generated recommendation will meet your requirements or lead to a successful hiring outcome; and (d) you shall exercise independent judgment in relying on any AI-generated output and shall not hold the Company liable for any decision made in reliance thereon.

C8.3 The Platform may use third-party AI platforms and models to deliver certain features. The Company does not warrant the performance, availability, or accuracy of such third-party AI tools and disclaims all liability for any loss, error, or disruption attributable to such platforms.

C8.4 AI-Driven Communication. The Platform may deploy AI-driven voice calls, chatbots, and automated messaging for candidate screening, interview scheduling, and user support. By using the Platform, you consent to such communications and acknowledge that these are automated and not conducted by a human agent, unless expressly stated otherwise.

C9. Third-Party Services, Open Networks & Integrations

C9.1 The Platform may integrate with, link to, or interoperate with third-party services, open-network protocols, partner platforms, and external APIs ("Third-Party Services"). Such Third-Party Services are governed by their own terms and conditions, and the Company is not responsible for the content, accuracy, reliability, availability, or legality of any Third-Party Service.

C9.2 Open Network Participants. Where the Platform participates in or integrates with open digital networks, including any ONDC-like protocol, the Company does not control the actions, content, or conduct of other network participants. The Company's liability with respect to transactions or interactions conducted through open-network interfaces is limited to the direct and proximate actions of the Company itself.

C9.3 API Usage. Access to and use of the Company's APIs is subject to separate API terms and conditions as may be published by the Company from time to time. Unauthorized use of the APIs, including without a valid key or in excess of permitted usage limits, constitutes a breach of these Terms and may result in account suspension and legal action.

C10. Payments, Taxes & Financial Terms

C10.1 General. All Fees payable under these Terms shall be paid in Indian Rupees (INR) through the payment methods made available on the Platform. The Company reserves the right to modify the Fees for any Service at any time, with prior notice to the affected User where reasonably practicable.

C10.2 Taxes. You are solely responsible for all taxes, levies, duties, and other governmental assessments applicable to your purchase or use of the Services, including but not limited to Goods and Services Tax (GST). Where the Company is required by Applicable Law to collect taxes on your behalf, the applicable tax will be added to the Fees charged.

C10.3 Failed Payments. If a payment fails for any reason, the Company reserves the right to immediately suspend or restrict access to the relevant Services until the outstanding amounts are paid in full. The Company shall not be liable for any loss or disruption arising from a suspension effected pursuant to this clause.

C10.4 Payment Security. All payment processing is handled by third-party payment gateway providers. The Company does not store, transmit, or process payment card data. The Company disclaims all liability for any security breach or unauthorized transaction occurring on the payment gateway.

C11. Subscriptions, Credits & Wallet

C11.1 Subscription Plans. Where the Company offers Subscription Plans, such plans shall commence on the date of successful payment and shall continue for the duration specified in the relevant plan. Subscription Plans will automatically renew at the end of each billing period unless cancelled by the User at least 48 (forty-eight) hours prior to the renewal date through the Platform's account management interface. Renewal will be charged at the then-current rate.

C11.2 Credits. Credits purchased by a User: (a) are non-transferable and non-refundable except as provided in Clause C11.4; (b) shall expire as specified at the time of purchase, or within 12 (twelve) months of purchase if no expiry date is specified; (c) have no monetary value and cannot be exchanged for cash; and (d) may be forfeited upon Account termination.

C11.3 Credits — Usage. Credits are consumed upon the User's access to or use of specific premium features or candidate data, as may be specified by the Company from time to time. The Company reserves the right to adjust Credit consumption rates with reasonable notice. Credits consumed for accessing candidate profiles shall not be refunded even if no hire is made.

C11.4 Refunds & Cancellations. Refund claims must be raised through the designated support channel within 7 (seven) calendar days of the transaction. Refund eligibility is subject to the Company's refund policy as published on the Platform, which may be updated from time to time. No refund shall be issued: (a) for Credits that have been consumed or partially consumed; (b) for Subscription Plans where access has been granted and used; (c) where the Company determines in its reasonable judgment that the refund request is not based on a genuine grievance; or (d) after the applicable refund window has elapsed. Cancellation of a Subscription stops future renewals only; no pro-rated refunds are available for the unused portion of a billing period.

C11.5 Disputed Charges. If you dispute any charge, you must notify the Company in writing within 30 (thirty) days of the charge. Failure to dispute within this period shall constitute your acceptance of the charge.

C12. Platform Availability & Disclaimer of Warranties

AS-IS WARRANTY DISCLAIMERS:

C12.1 AS-IS BASIS. THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OR REPRESENTATION OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

C12.3 NO HIRING GUARANTEE. THE COMPANY MAKES NO WARRANTY OR REPRESENTATION THAT THE USE OF THE PLATFORM WILL RESULT IN ANY JOB OFFER, EMPLOYMENT, HIRING, OR STAFFING OUTCOME. ALL HIRING DECISIONS ARE MADE EXCLUSIVELY BY EMPLOYERS, AND THE COMPANY IS NOT RESPONSIBLE FOR ANY ASPECT OF THE RECRUITMENT OR SELECTION PROCESS.

C12.2 No Guarantee of Availability. The Company does not warrant that: (a) the Platform will be available at all times or operate without interruption or error; (b) any defects will be corrected; (c) the Platform is free from viruses or other harmful components; or (d) the results obtained from use of the Platform will meet your requirements or expectations.

C12.4 No Salary Guarantee. The Company makes no representation or warranty regarding salary ranges, compensation packages, or the accuracy of salary information displayed on the Platform. All compensation-related decisions are at the sole discretion of the employer.

C13. Limitation of Liability

LIABILITY LIMITATION DETAILS:

C13.1 EXCLUSION OF INDIRECT DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOBSUPI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE TO ANY USER OR THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

C13.2 AGGREGATE CAP. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, THE MAXIMUM AGGREGATE LIABILITY OF THE COMPANY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE LESSER OF: (A) INR 5,000 (INDIAN RUPEES FIVE THOUSAND); OR (B) THE TOTAL FEES ACTUALLY PAID BY YOU TO THE COMPANY IN THE 3 (THREE) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

C13.3 Exceptions. Nothing in these Terms shall limit or exclude the Company's liability for: (a) death or personal injury caused by the Company's gross negligence; or (b) fraud or fraudulent misrepresentation by the Company. This Clause C13 does not affect any rights you may have under Applicable Law that cannot be excluded by contract.

C13.4 Essential Basis. You acknowledge that the limitations of liability in this Clause C13 form an essential part of the basis of the bargain between you and the Company, and that the Company would not have entered into these Terms without such limitations.

C14. Indemnification

C14.1 You agree to defend, indemnify, and hold harmless the Company and its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Platform or Services; (b) any UGC you submit; (c) your breach of these Terms; (d) your violation of any Applicable Law; (e) any misrepresentation made by you; (f) any claim by a third party arising from your conduct on the Platform; or (g) any dispute between you and another User.

C14.2 The Company reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with the Company in the assertion of such defense. You shall not settle any claim without the Company's prior written consent.

C15. Grievance Redressal & Reporting Mechanism

C15.1 Grievance Officer. In accordance with Rule 3(2)(a) of the Intermediary Guidelines, the Company has appointed a Grievance Officer whose details are as follows:

C15.2 Response Timeline. The Grievance Officer shall acknowledge receipt of a grievance within 24 (twenty-four) hours and resolve the grievance within 15 (fifteen) days of receipt, in accordance with the Intermediary Guidelines. For complaints related to content that exposes the complainant to cognizable offences affecting the body, the Company shall endeavour to resolve such complaint within 72 (seventy-two) hours.

C15.3 Takedown/Reporting. Users may report any UGC they believe to be in violation of these Terms, any Applicable Law, or that is harmful, fraudulent, or otherwise objectionable, by writing to grievance@jobsupi.com with full details of the reported content and the basis for the complaint. The Company shall investigate and take appropriate action at its sole discretion.

C15.4 IP Infringement. Any person who believes that their intellectual property rights have been infringed upon by content on the Platform may submit a takedown request to the Grievance Officer with: (a) identification of the allegedly infringing content with sufficient detail to locate it; (b) proof of ownership of the intellectual property right; (c) a statement that the use is not authorized; and (d) a statement under penalty of law that the information is accurate.

C16. Account Suspension & Termination

C16.1 Company's Right to Suspend or Terminate. The Company reserves the right to suspend, restrict, or permanently terminate your Account and access to all Services, with or without notice, at its sole discretion, for any reason including: (a) breach of any provision of these Terms; (b) suspected or confirmed fraudulent activity; (c) providing false, inaccurate, or misleading information; (d) creating multiple Accounts in violation of these Terms; (e) violation of any Applicable Law; (f) conduct that is harmful to other Users or the Platform; (g) non-payment of Fees; (h) receipt of regulatory direction requiring such action; or (i) for any other reason that the Company, in its reasonable judgment, considers sufficient to protect the integrity of the Platform.

C16.2 Immediate Suspension Without Notice. Notwithstanding Clause C16.1, the Company may immediately suspend an Account without prior notice in cases of: (a) suspected fraud, scam activity, or illegal conduct; (b) content that poses an immediate risk to the safety of any User or third party; (c) receipt of a valid court order or regulatory direction; or (d) an active security incident affecting the Platform.

C16.3 User's Right to Terminate. You may terminate your Account at any time by submitting a deletion request through the Platform's account management interface or by writing to support@jobsupi.com. Termination shall not relieve you of any obligations incurred prior to termination, including any outstanding payment obligations.

C16.4 Effect of Termination. Upon termination: (a) your right to use the Platform and Services shall cease immediately; (b) all pending transactions and Credits shall be forfeited without refund except as required by Applicable Law; (c) the Company may retain your data as required by Applicable Law; and (d) all provisions of these Terms that, by their nature, should survive termination shall continue in full force and effect.

C17. Force Majeure

C17.1 The Company shall not be liable for any delay or failure to perform any obligation under these Terms arising from circumstances beyond the Company's reasonable control, including but not limited to: acts of God, fire, flood, earthquake, epidemic, pandemic, natural disasters, war, terrorism, riots, civil unrest, governmental actions, regulatory interventions, power outages, telecom failures, internet disruptions, denial-of-service attacks, or any other event that the Company could not reasonably have prevented.

C17.2 In such an event, the Company shall notify Users as soon as reasonably practicable and shall use commercially reasonable efforts to restore normal operations. Subscription periods may, at the Company's discretion, be extended to account for material service disruptions caused by Force Majeure Events.

C18. Governing Law, Jurisdiction & Dispute Resolution

C18.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws principles.

C18.2 Mandatory Arbitration. Any and all disputes, controversies, or claims arising out of or relating to these Terms, the Platform, or the Services, including any question regarding their existence, validity, breach, or termination, shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator agreed upon by the parties within 30 (thirty) days of issuance of notice of dispute; failing such agreement, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.

C18.3 Seat & Language. The seat and venue of arbitration shall be Gurugram, Haryana, India. The arbitration proceedings shall be conducted in the English language.

C18.4 Confidentiality. The parties agree to keep the arbitration proceedings and any award strictly confidential, except as required by Applicable Law or necessary to enforce an award.

C18.5 Interim Relief. Nothing in this Clause C18 shall preclude either party from seeking urgent or interim injunctive or other equitable relief from courts of competent jurisdiction where necessary to prevent imminent and irreparable harm.

C18.6 Court Jurisdiction. Subject to and without prejudice to the arbitration clause, the parties submit to the exclusive jurisdiction of the courts at Gurugram, Haryana, India, for all matters not subject to arbitration, including interim relief applications.

C18.7 Consumer Rights. Nothing in this Clause C18 shall be construed to limit or exclude any rights you may have under the Consumer Protection Act, 2019, that are not capable of being excluded by contract.

C19. Miscellaneous

C19.1 Entire Agreement. These Terms, together with the Privacy Policy and any other policies published by the Company on the Platform, constitute the entire agreement between you and the Company with respect to the subject matter hereof, and supersede all prior and contemporaneous agreements, communications, representations, and understandings between the parties relating thereto.

C19.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms, without affecting the validity or enforceability of the remaining provisions.

C19.3 Waiver. No failure or delay by the Company in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy. No single or partial exercise of any right shall preclude any other or further exercise of such right or the exercise of any other right.

C19.4 Assignment. You may not assign, transfer, or sub-license any of your rights or obligations under these Terms without the prior written consent of the Company. The Company may freely assign, transfer, or novate any or all of its rights and obligations under these Terms, including in the event of a merger, acquisition, or sale of assets, without your consent.

C19.5 Amendment. The Company reserves the right to modify, update, or revise these Terms at any time. The updated Terms will be published on the Platform with a revised effective date. Where the amendments are material, the Company will notify registered Users through the Platform or by email. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Platform.

C19.6 Survival. The following provisions shall survive any termination of these Terms: Clause C4 (Intellectual Property), Clause C5.1 (Responsibility for UGC), Clause C7 (Privacy), Clause C13 (Limitation of Liability), Clause C14 (Indemnification), Clause C18 (Governing Law & Dispute Resolution), and any other provisions that by their nature should survive termination.

C19.7 Translation. These Terms are published in English. Any translation into other languages provided by the Company is for convenience only. In the event of any conflict between the English version and any translation, the English version shall prevail.

C19.8 Third-Party Rights. Nothing in these Terms is intended to, or shall, create any right enforceable by any third party that is not a party to this Agreement.

C19.9 Regulatory Compliance. The Company may modify the Platform or its Services to comply with any change in Applicable Law, regulatory guidance, or order of any Authority. Such modifications may affect your use of the Services, and the Company shall not be liable for any resulting limitation in access or functionality.

Section B: Terms for Job Seekers

Governing the Use of JobsUPI by Individuals Seeking Employment Opportunities

A1. Eligibility — Job Seekers

A1.1 To register as a Job Seeker on the Platform, you must: (a) be at least 18 years of age, or the minimum legal age for employment under Applicable Law, whichever is higher; (b) be legally authorized to work in India or such other jurisdiction for which you are applying; and (c) meet any other eligibility criteria that may be specified by the Company from time to time.

A1.2 Minors. Where positions are available for individuals aged 14–18 under the Child Labour (Prohibition and Regulation) Act, 1986 or any superseding legislation, such individuals may only use the Platform with the verifiable consent of their parent or guardian, and subject to the relevant restrictions under Applicable Law.

A2. Profile Creation & Accuracy

A2.1 You are required to provide accurate, complete, and truthful information in your profile, including your name, contact details, educational qualifications, work experience, skills, and any other information requested by the Platform. You acknowledge that false or misleading profile information is a material breach of these Terms.

A2.2 Resume Uploads. By uploading a resume or curriculum vitae (CV) to the Platform, you: (a) represent that all content therein is accurate and does not contain fraudulent information; (b) grant the Company and authorized Employers the right to view and process such documents as permitted under these Terms; and (c) acknowledge that once your resume is shared with an Employer, the Company cannot guarantee its deletion from the Employer's own systems.

A2.3 Profile Maintenance. You are responsible for keeping your profile updated. Stale, inactive, or inaccurate profiles may be removed or archived by the Company at its discretion.

A2.4 Job Applications. Job applications submitted through the Platform shall remain active for a period of 60 (sixty) days from the date of submission, after which they may be archived. Employers shall not have access to archived applications. You may re-apply to an active job posting after the expiry of 60 days from your initial application.

A3. Verification

A3.1 The Company may offer identity verification, credential verification, or background-check services. Participation in such services may be voluntary or required for access to certain features. Verification does not guarantee employment suitability or constitutes an endorsement by the Company.

A3.2 Verification by Third Parties. Where verification is conducted by a third-party provider, such verification shall be subject to the terms and privacy practices of that provider. The Company makes no warranty regarding the completeness or accuracy of third-party verification results.

A4. No Job Guarantee & No Salary Guarantee

JOBSUPI IS A TECHNOLOGY PLATFORM AND NOT AN EMPLOYMENT AGENCY. WE DO NOT GUARANTEE THAT YOUR USE OF THE PLATFORM WILL RESULT IN ANY JOB OFFER, EMPLOYMENT, INTERVIEW, OR HIRING OUTCOME. WE DO NOT GUARANTEE ANY MINIMUM SALARY, COMPENSATION LEVEL, OR EMPLOYMENT CONDITIONS. ALL HIRING DECISIONS ARE MADE EXCLUSIVELY BY EMPLOYERS AT THEIR SOLE DISCRETION.

A4.1 The Company does not guarantee: (a) that any job listing on the Platform is genuine, current, or unfilled; (b) that any Employer is who they represent themselves to be; (c) that applying for a job will result in an interview or offer; (d) that any salary, benefit, or employment condition stated in a job listing will be honored by the Employer; or (e) that the Company's matching algorithms will identify the most suitable opportunities for you.

A4.2 The Company strongly advises Job Seekers to: (a) independently verify the identity and legitimacy of any Employer before attending any interview or providing sensitive personal information; (b) never pay any fee to any person in connection with securing employment; and (c) report any suspicious activity to the Grievance Officer immediately.

A5. Fraud Prevention & Safety Obligations

A5.1 Anti-Fraud Obligations. You must not: (a) use a fabricated or stolen identity; (b) submit forged educational certificates, experience letters, or other documents; (c) misrepresent your qualifications, experience, or skills; (d) operate a fake account or impersonate another job seeker; or (e) use the Platform to perpetrate any fraud or scam against any other User.

A5.2 Reporting Fraud. You are encouraged to report any job listing, Employer, or communication that you believe to be fraudulent, scam-related, or otherwise suspicious, using the reporting mechanism described in Clause C15.3.

A5.3 Fee Demands. You should never pay any fee to an Employer, recruiter, or any third party as a precondition for a job interview, offer, or employment. If any person demands payment from you through the Platform, report it immediately. The Company does not authorize any such fees and disclaims all liability for any payments made in response to fraudulent fee demands.

A6. Interview & Hiring Disclaimer

A6.1 The Company is not involved in and is not responsible for any aspect of the interview, selection, testing, or hiring process. Such processes are conducted entirely by the Employer and may involve: (a) AI-assisted screening or automated assessments; (b) background checks; (c) skill tests or psychometric assessments; or (d) reference checks.

A6.2 The Company bears no responsibility for any decisions made by an Employer during the hiring process, including any decision to reject your application, withdraw an offer, or terminate your employment.

A6.3 Employment Disputes. Any dispute arising from your employment, including wages, working conditions, unlawful termination, workplace harassment, or any other matter, is exclusively between you and the Employer. The Company is not a party to your employment relationship and cannot be made a party to any employment dispute or proceeding arising therefrom.

A7. Data Sharing with Employers

A7.1 By applying for a job or expressing interest in a job listing on the Platform, you expressly consent to the Company sharing your profile information, resume, and application data with the relevant Employer for the purpose of evaluating your candidacy. You acknowledge that once such data is shared with an Employer, the Company cannot control how the Employer processes or retains such data, and the Employer's handling of your data shall be governed by the Employer's own privacy policy.

A7.2 Profile Visibility. By creating an account, your profile may be visible to Employers browsing the Platform's candidate database, subject to your privacy settings. You may adjust your profile visibility settings through the Platform's account management interface.

A8. Communications & DND Consent

In addition to the general communications consent in Clause C7.4, as a Job Seeker you specifically consent to receive: (a) job alerts and recommendations based on your profile and search history; (b) interview reminders and scheduling notifications; (c) safety tips and platform updates; (d) promotional communications from the Company and its partner organizations; and (e) AI-driven calls for preliminary screening and profile matching.

A9. Suspension & Termination of Job Seeker Accounts

In addition to the general suspension rights under Clause C16, the Company may immediately suspend a Job Seeker's Account upon: (a) receipt of a credible complaint from an Employer of fraud or misrepresentation; (b) detection of automated or bot-driven activity on the Account; (c) creation of multiple Accounts; or (d) any verified breach of these Terms.

A10. Limitation of Liability — Job Seekers

The Company shall have no liability to any Job Seeker for: (a) any failure to secure employment through the Platform; (b) the conduct, misrepresentation, or actions of any Employer; (c) any loss arising from a fake or fraudulent job posting; (d) any harm arising from attending an interview arranged through the Platform; or (e) any dispute arising from the terms of any employment offered through the Platform. You agree that your sole remedy in respect of any deficiency in Services shall be as provided under Clause C13 of these Terms.

Section C: Terms for Job Providers

Governing Employers, Recruiters, Contractors, Staffing Agencies & HR Professionals

B1. Eligibility & Authority to Hire

B1.1 To register as a Job Provider on the Platform, you must: (a) be a duly incorporated company, registered firm, licensed contractor, or a natural person legally authorized to conduct business and hire employees or workers under Applicable Law; (b) possess all requisite licenses, registrations, and approvals required to operate your business and engage workers in the relevant category; and (c) have the legal authority to post job listings and make offers of employment.

B1.2 Authority to Bind Entity. If you are registering on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms. Personal liability for misrepresentation of authority shall vest in the individual making such representation.

B1.3 Excluded Categories. The following categories of persons may not register as Job Providers: (a) individuals or entities blacklisted by the Company or any regulatory authority; (b) entities whose business involves activities prohibited under Indian law; (c) unlicensed placement agencies required to be registered under the Private Placement Agencies Act or equivalent state legislation; or (d) entities operating schemes that require candidates to pay fees, purchase products, or make investments as a condition of employment.

B2. Genuine Job Posting Obligations

B2.1 Authenticity. You represent and warrant that every job listing you post on the Platform: (a) represents a genuine, current, and unfilled vacancy; (b) accurately describes the role, responsibilities, qualifications, location, compensation range, and employment type; (c) is posted for a lawful business purpose; and (d) is not duplicative, expired, or posted for the purpose of harvesting candidate data.

B2.2 Prohibition on Fake Postings. You strictly must not post: (a) fictitious or ghost job listings; (b) listings for roles that do not exist or are not currently vacant; (c) listings for the primary purpose of data collection without genuine hiring intent; or (d) misleading listings designed to lure Job Seekers into fraudulent schemes. Violation of this clause shall result in immediate account suspension, forfeiture of all Credits and Fees paid without refund, and may result in civil and/or criminal liability.

B2.3 Listing Maintenance. You are responsible for removing or updating job listings once: (a) the position is filled; (b) the listing has expired; or (c) the information becomes materially inaccurate. Failure to maintain accurate listings may result in removal by the Company.

B2.4 Compliance with Labour Laws. All job listings and hiring activities conducted through the Platform must comply with Applicable Law, including but not limited to the Industrial Disputes Act, 1947, the Minimum Wages Act, 1948, the Payment of Wages Act, 1936, the Contract Labour (Regulation and Abolition) Act, 1970, the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013, the Code on Wages, 2019, the Code on Social Security, 2020, and all applicable state-level labour regulations.

B3. Anti-Discrimination Obligations

B3.1 You represent, warrant, and covenant that all job listings, hiring processes, and candidate communications conducted through the Platform shall be free from unlawful discrimination on the basis of sex, gender, caste, religion, race, ethnicity, national origin, disability, age, marital status, sexual orientation, pregnancy, or any other characteristic protected under Applicable Law.

B3.2 While the Company acknowledges that certain roles may be gender-specific under Applicable Law (e.g., certain factory roles under the Factories Act), any such specifications must be based on genuine legal or operational requirements and must be clearly stated and justified in the listing.

B3.3 The Company reserves the right to remove any listing it believes to contain discriminatory language or requirements, without notice and without liability.

B4. Prohibition on Charging Candidates

CANDIDATE CHARGING PROHIBITION NOTICE:

B4.1 You must not, directly or indirectly, demand, collect, or receive any fee, deposit, security amount, training fee, registration fee, or any other payment from any Job Seeker as a precondition for or in connection with employment or an interview. Any such conduct constitutes a serious breach of these Terms, is likely to violate Applicable Law (including the Private Placement Agencies (Regulation) Act, 2021, where applicable), and shall result in immediate and permanent account termination.

B4.2 The Company shall cooperate with law-enforcement authorities in investigating complaints of unlawful fee collection and shall provide relevant records and data upon receipt of a valid legal order.

B5. Candidate Data — Usage Restrictions

B5.1 All candidate data accessed through the Platform (including profile information, resumes, application materials, and contact details) is provided exclusively for the purpose of evaluating and engaging candidates for the specific roles posted by you. You must not: (a) use candidate data for any purpose other than recruitment and hiring; (b) share candidate data with any third party not directly involved in the hiring process; (c) retain candidate data beyond the period necessary for the relevant recruitment purpose; (d) use candidate data to market non-employment products or services; or (e) build, compile, or sell candidate databases using data obtained from the Platform.

B5.2 Data Processing Obligations. You acknowledge that as an employer receiving personal data from Job Seekers, you are a data fiduciary under the DPDP Act with respect to candidate personal data. You agree to process such data in accordance with all applicable data protection obligations, to implement appropriate security measures, and to promptly notify the Company of any data breach involving candidate data obtained through the Platform.

B5.3 Data Retention. You must delete candidate personal data obtained through the Platform within 90 (ninety) days of the conclusion of the relevant hiring process, unless retention is required by Applicable Law.

B6. Employer Verification

B6.1 The Company reserves the right to verify any information provided by a Job Provider, including business registration details, GST numbers, contact information, and the genuineness of job listings. You agree to provide such documentation as the Company may request within the timeframe specified.

B6.2 Verification by the Company does not constitute an endorsement of the Job Provider's business, reputation, financial solvency, or compliance with Applicable Law. Job Seekers are advised to conduct their own due diligence on prospective employers.

B6.3 The Company reserves the right to conduct periodic re-verification of Job Provider accounts and may require updated documentation to maintain active account status.

B7. Subscription, Credits & Payment Terms

B7.1 Job Provider Plans. Access to premium features, candidate databases, enhanced visibility, and hiring tools shall be governed by the Subscription Plans and Credits as published on the Platform from time to time.

B7.2 Subscription Obligations. You agree to pay all Fees in full and on time. Failure to pay may result in immediate suspension of your account and forfeiture of access to all premium features without refund.

B7.3 Auto-Renewal. Subscription Plans will auto-renew as described in Clause C11.1. You are responsible for managing your renewal settings. The Company shall not be liable for charges resulting from your failure to cancel a subscription prior to renewal.

B7.4 Credit Consumption. Credits consumed in accessing candidate profiles or features are non-refundable, whether or not a hire is made. The Company does not guarantee that Credits will yield any specific number of responses, interviews, or hires.

B7.5 Refunds. Job Provider refund claims are subject to Clause C11.4. No refund shall be issued for Credits consumed or for Subscription Plans where access has been granted. Disputes regarding charges must be raised within 30 (thirty) days of the relevant transaction.

B7.6 GST. All Fees are exclusive of applicable GST unless expressly stated otherwise. GST shall be charged at the applicable rate at the time of invoicing.

B8. Fraudulent Employer Handling

B8.1 The Company treats all allegations of fraudulent employer activity with the utmost seriousness. If the Company receives credible evidence that a Job Provider account is being used to perpetrate fraud, the Company may: (a) immediately and permanently suspend the account without notice; (b) forfeit all prepaid Fees and Credits without refund; (c) report the matter to relevant law-enforcement authorities; (d) cooperate fully with any investigation by a regulatory or law-enforcement body; and (e) publish a notice warning Users about the fraudulent employer, subject to applicable legal constraints.

B8.2 The Company expressly disclaims all liability for losses suffered by Job Seekers as a result of fraudulent employer activity. Job Seekers who suffer such losses must pursue their remedies directly against the fraudulent employer.

B9. Content Ownership & License

B9.1 All job listings and content you post on the Platform remain your property. By posting such content, you grant the Company a non-exclusive, worldwide, royalty-free license to display, distribute, promote, and process such content for the purposes of operating the Platform and providing the Services. You represent that you have all rights necessary to grant this license.

B9.2 The Company may use anonymized, aggregated job posting data for analytics, market research, and product development.

B10. Indemnification by Job Providers

In addition to your general indemnification obligations under Clause C14, you specifically agree to indemnify and hold harmless the Company from and against any claims, losses, damages, costs, and expenses arising from: (a) any Fake Posting; (b) unlawful collection of fees from candidates; (c) discriminatory hiring practices; (d) unauthorized use of candidate data; (e) any labour law violation; (f) any workplace accident, injury, or incident involving a candidate hired through the Platform; and (g) any claim made by a Job Seeker in connection with your recruitment activities.

B11. Limitation of Liability — Job Providers

Subject to Clause C13, the Company shall have no liability to any Job Provider for: (a) the accuracy, completeness, or suitability of any candidate's profile; (b) any failure of any candidate to appear for an interview or accept an offer; (c) any misrepresentation made by a Job Seeker; (d) any harm resulting from employing a candidate sourced through the Platform; or (e) the performance of any employee hired through the Platform.
